Terms of Service

WellAlly provides an AI-native medical intelligence layer, including clinical knowledge bases, calculators, patient-hub content, and related software services ("Service"). Parts of the Service may be free or available under paid plans.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

Free features: Free features of the Service are provided for personal and educational use as described on the site. Open-source components, where indicated, are licensed under their respective licenses (including MIT).

Paid plans: Upon purchase of a paid plan, you receive access rights as stated at checkout. You may not resell, redistribute, or sublicense the Service itself. Organization or multi-seat use may require a separate agreement.

All licenses are non-transferable. The license granted is to you personally or your organization, and may not be assigned to a third party.

To use certain features you may need an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

You must provide accurate and complete information when creating your account. We reserve the right to terminate accounts that violate these Terms or provide false information.

All prices are listed in US Dollars (USD). Payment is processed securely through Stripe. By making a purchase, you authorize us to charge your payment method for the listed amount plus any applicable taxes.

Prices are subject to change. Changes will not affect orders already placed. For refund terms, see Section 6.

We offer a 14-day refund policy on eligible paid purchases. If you are not satisfied for any reason, contact us at support@wellally.tech within 14 days of purchase with your order number and we will issue a refund to your original payment method where eligible.

Refunds may not be available after 14 days of purchase, or if usage has clearly exceeded evaluation (see Refund Policy). See our Refund Policy page for full details.

You may not use the Service to:

• Resell, redistribute, or sublicense the Service or proprietary content as a standalone product
• Create competing medical-knowledge marketplaces by scraping or rehosting our proprietary content
• Violate any applicable law or regulation
• Infringe upon the intellectual property rights of others
• Transmit malware, spam, or other harmful content
• Attempt to gain unauthorized access to our systems

The Service and its original content (excluding user-submitted content and third-party open-source code) remain the exclusive property of WellAlly. Our trademarks may not be used in connection with any product or service without prior written consent.

THE SERVICE AND TEMPLATES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TANSTACK TEMPLATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
